xAI

Elon Musk's frontier lab — from Colossus to a SpaceX merger at US$250B in under three years

xAI is the artificial-intelligence company founded by Elon Musk in March 2023 (incorporated in Nevada with 11 AI researchers) to 'understand the true nature of the universe,' building the Grok model family and the Colossus supercomputer — one of the world's largest AI training clusters at over 1M H100-equivalent GPUs. Its financing arc was the fastest in the frontier-lab race: ~US$135M seed (December 2023), US$6B Series B at US$24B (May 2024), US$6B Series C at US$50B (December 2024), an all-stock acquisition of X Corp in March 2025 (xAI valued at US$80B, X at US$33B), a US$10B debt-and-equity package (July 2025), a reported US$10B Series D at US$200B (September 2025), and a US$20B Series E at US$230B (January 2026) — before SpaceX acquired xAI for US$250B in an all-stock deal on 2 February 2026, making it a wholly owned subsidiary.

The story behind the numbers

Colossus as the moat

xAI's defining asset is not Grok but Colossus — a Memphis training cluster built at record speed to 1M+ H100-equivalent GPUs. The capital raises of 2024–2026 map directly to this hardware buildout: each round bought more GPUs, and the July 2025 US$10B package plus an off-balance-sheet US$20B GPU-leasing SPV (Nvidia + asset managers, October 2025) extended the model without diluting equity.

Merging the lab with the platform

The March 2025 all-stock acquisition of X (xAI at US$80B) gave Grok exclusive access to X's real-time data and distribution. The SpaceX merger eleven months later (US$250B) folded the lab into Musk's broader aerospace-and-compute empire, ending xAI's life as an independent company.

Valuation velocity and contested rounds

From US$5B (December 2023) to US$250B (February 2026) is roughly a 50x expansion in 26 months — the fastest valuation arc in the frontier-lab set. It came with unusual noise: Musk publicly called the September 2025 Series D report 'fake news' before its close was corroborated, and Tesla's US$2B Series E commitment remained subject to shareholder approval.

From lab to subsidiary

The February 2026 SpaceX acquisition at US$250B was effectively an exit for xAI's outside investors, who swapped into SpaceX equity. Post-SpaceX-IPO (June 2026), the combined entity's ~US$1.75T valuation made the xAI round history a prologue to the Musk capital machine rather than a standalone story.
