OpenAI began in 2015 as a nonprofit pledged US$1B to develop AI 'for the benefit of humanity,' restructured around a capped-profit subsidiary in 2019 to fund compute, then reincorporated as a public-benefit corporation in October 2025 as it prepared for public markets. Each structural step unlocked a step-change in capital — the 2019 Microsoft deal, the 2023 US$10B, and the US$157B→US$300B→US$852B valuation ladder of 2024–2026.
